Welcome to Midcrunch LLC (“Midcrunch,” “we,” “our,” or “us”). These Terms of Service govern your use of our website, checkout page, and digital service packages. By accessing our website, purchasing a service package, or engaging Midcrunch for services, you agree to these terms.
1. Acceptance of Terms
By using our website or purchasing services from Midcrunch, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or purchase our services.
We may update these terms from time to time. Any changes will be posted on this page with an updated “Last updated” date.
2. Age Requirement
You must be at least 18 years old to use our website, purchase services, or opt in to SMS/text messaging. By using our website or services, you confirm that you are at least 18 years old.
3. Services Provided
Midcrunch provides professional digital service packages. Services may include website setup, website design, website development, CRM setup, automation setup, online presence setup, SEO-related setup, marketing-support setup, and related implementation services.
No physical goods are shipped. All services are digital and are delivered according to the selected package scope.
4. No Guaranteed Results
Midcrunch provides professional digital services and implementation support. We do not guarantee revenue, rankings, lead volume, approvals, sales, profits, return on investment, or specific business results.
Results may vary based on market conditions, customer demand, competition, advertising spend, client follow-up, business operations, and other factors outside of our control.
5. Client Responsibilities
You agree to provide accurate information, timely feedback, and any materials needed to complete your project, such as logos, images, website access, domain access, business details, service information, and brand preferences.
Delays in providing requested materials or approvals may delay project timelines.
6. Payment Terms
Payment is due according to the pricing shown at checkout or in your written agreement, invoice, or proposal.
If you choose a third-party payment or financing option, approval, terms, APR, payment schedule, and monthly payment amounts are determined by the payment or financing provider. Midcrunch does not control financing approvals or financing terms.
7. Refund and Cancellation Policy
Because Midcrunch provides digital service packages and begins planning, setup, and implementation after purchase, refund eligibility depends on project status.
If you request cancellation before any work has started, you may be eligible for a full or partial refund.
If work has already started, refunds may be reduced based on work completed, time spent, third-party costs, setup costs, platform fees, and deliverables already provided.
If a project has been substantially completed, launched, delivered, or made available for review, payments are generally non-refundable except where required by law or agreed in writing.
For financed purchases, approved refunds will be processed through the applicable payment or financing provider. Any refund timing, financing balance updates, or payment adjustments are handled by that provider.

8. Project Timelines
Estimated timelines are provided for planning purposes only. Timelines may vary depending on project complexity, client responsiveness, requested revisions, third-party platforms, and other factors.
9. Revisions and Scope
Each package includes the services and deliverables listed in its selected package scope. Additional requests outside the original scope may require additional fees or a separate agreement.
10. Intellectual Property
After full payment is received, you will own the custom website content and design elements created specifically for your project, except for third-party tools, templates, stock assets, software, plugins, fonts, or platform components that remain subject to their own licenses.
Midcrunch may retain the right to display completed work in its portfolio or marketing materials unless otherwise agreed in writing.
11. Hosting, Platforms, and Third-Party Tools
Some services may rely on third-party platforms, hosting providers, website builders, CRMs, payment processors, communication tools, analytics tools, or advertising platforms.
Midcrunch is not responsible for outages, policy changes, account suspensions, billing changes, downtime, data loss, or service limitations caused by third-party platforms.
12. SMS/Text Messaging Terms
By providing your phone number and opting in, you consent to receive informational and promotional SMS/text messages from Midcrunch, including service updates, onboarding reminders, appointment reminders, and related communications.
Consent is not a condition of purchase. Message frequency may vary. Message and data rates may apply. You can opt out at any time by replying STOP. For help, reply HELP or contact harlan@midcrunch.com. Carriers are not liable for delayed or undelivered messages.
13. Limitation of Liability
To the fullest extent permitted by law, Midcrunch is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.
Midcrunch’s total liability for any claim related to our services is limited to the amount paid to Midcrunch for the specific service giving rise to the claim.
14. Termination
Either party may terminate services with written notice. If services are terminated after work has started, payment remains due for work completed, time spent, third-party costs, and deliverables provided up to the termination date.
We may suspend or terminate services for non-payment, misuse of services, breach of these terms, or conduct that interferes with our ability to provide services.
15. Dispute Resolution
If a dispute arises, both parties agree to first attempt to resolve the matter through good-faith communication. If unresolved, disputes may be handled through arbitration or another legally available process, unless otherwise required by law.
These terms are governed by the laws of the United States and the applicable laws of Virginia.
